An article by Krzysztof Łyszyk and Wiktor Kulewicz has appeared in Gazeta Prawna on the duty of loyalty that exists in simple joint-stock companies (SJCs). The legislator has decided to regulate that duty only in respect of SJCs, omitting the issue in the case of other capital companies. Does this mean that there is no such duty of loyalty in limited liability companies and joint-stock companies? Or is it simply more pronounced in the case of SJCs?
